Steven has extensive experience in various types of complex civil commercial litigation, which includes trials in both federal and state court, and has represented clients in lawsuits concerning commercial real estate disputes, resolution of problem loans, internal disputes between partners, shareholders and limited liability company members, breach of contract claims, tortious interference claims, and commercial fraud.

Steven has conducted trials concerning, among other issues, claims for goods sold and delivered; whether a plaintiff was a partner in a real estate development company; and whether the majority shareholder of a corporation had diverted corporate funds to the detriment of the minority shareholder.

Representative Cases:

  • Represented Panos Eliades, and his promotion company, Panix, in a lawsuit against the boxer and heavyweight champion, Lennox Lewis. The case was tried before a jury in the United States Court of the Southern District of New York and involved claims of breach of contract, breach of fiduciary duty, fraud and RICO violations
  • Represented a well known real estate developer in a highly publicized arbitration against its co-owner of the General Motors Building concerning ownership of the GM Building under the LLC Operating Agreement
  • Represented an Atlantic City casino in a breach of contract action against a well-known singer and actor
  • Represented the ex-wife of Dee Dee Ramone, an original member of the well known band the Ramones, in a breach of contract action in which the plaintiff sought to prohibit the ex-wife from publishing a book concerning Dee Dee Ramone
  • Represented various employers and employees in employment discrimination cases, wrongful termination cases and cases involving the enforcement of negative covenants, such as non-compete clauses
  • Represented the buyer concerning the purchaser’s breach of an asset purchase agreement in relation to the sale of a business
  • Represented various clients in breach of contract actions and disputes between co-investors of companies
  • Represented various institutional lenders in commercial foreclosure actions, including single and multiple lender transactions. These actions have included numerous property types, such as a commercial building (office and retail) in Manhattan, a boutique hotel in Manhattan, commercial retail space in Queens, an office park in Suffolk county, and a land assemblage for a ultra-high end residential condominium development in Manhattan
  • Represented lenders in litigation by indirect investor in borrower alleging lenders’ involvement in claimed improper use of loan proceeds by the borrower
  • Represented the defendant in a case concerning an agreement between two parties to purchase, renovate, and then sell a residential property against allegations that the plaintiff was entitled to receive a larger share of the proceeds from the sale; succeeded in having the case dismissed on the pleadings
  • Represented various clients in trademark and copyright infringement cases



In addition to commercial litigation, Steven has provided corporate advice, has represented clients in the negotiation of transactions, has provided advice concerning corporate governance, and has formed and register limited liability companies, partnerships and corporations and drafted the agreements between the shareholders, members and partners, such as operating agreements.
